Terms & Conditions

1. Who we are

VauxCast is operated by Chestnut Media Ventures LLC ("Chestnut Media Ventures", "we", "us"). When you use VauxCast or buy a subscription, you are contracting with Chestnut Media Ventures LLC. You can reach us at contact@vauxcast.com.

2. Acceptance of these terms

By creating an account, accessing, or continuing to use VauxCast, you agree to these Terms & Conditions. If you use VauxCast on behalf of an organization, you confirm that you have the authority to bind that organization to these terms. If you do not agree, do not use the service.

3. The service

VauxCast is a cloud-based digital signage and live presentation platform. It lets you build slide projects from templates and live feeds, present them to remote guests through shareable links, run meetings with chat and moderation, and record sessions. Features available to you depend on the plan you purchase.

We grant you a limited, non-exclusive, non-transferable right to use VauxCast within the limits of your selected plan. You may not reverse engineer the service, resell or redistribute it, or circumvent technical limits such as seat counts.

4. Your account

You must provide accurate information when you sign up and keep it up to date. You are responsible for keeping your account credentials confidential and for all activity that happens under your account.

5. Acceptable use

You must not misuse VauxCast. That includes, without limitation:

  • Using the service for anything unlawful, fraudulent, or deceptive;
  • Sending spam or unsolicited communications through the service;
  • Infringing anyone's intellectual property rights in content you present or share;
  • Interfering with the security or operation of the service, including introducing malware, probing or scanning systems, or scraping the service;
  • Attempting to access another customer's account, meetings, or data.

6. Your content

You keep ownership of the content you upload or present through VauxCast. You grant us a limited license to host, process, and transmit that content solely to provide the service to you and your guests. You are responsible for your content and for having the rights to use it.

7. Intellectual property

We own VauxCast and all of its intellectual property, including the software, templates, documentation, and branding. These terms do not transfer any of that ownership to you.

8. Payments, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Subscriptions renew monthly until canceled. You can cancel at any time; when you cancel, you keep full access until the end of the paid period. Plan upgrades and downgrades take effect immediately and are prorated.

9. Service level

We work hard to keep VauxCast available, but we do not guarantee that the service will be uninterrupted or error-free. Maintenance, updates, and factors outside our control may cause downtime.

10. Suspension and termination

We may suspend or terminate your access to VauxCast if you materially breach these terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our policies. When your access ends, your right to use the service stops immediately; we may delete your data after a reasonable retention window.

11. Disclaimers and liability

To the fullest extent permitted by law, VauxCast is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. To the fullest extent permitted by law, we are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill), and our aggregate liability to you is capped at the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where the law does not allow it.

12. General

These terms are governed by the laws of the State of New York, USA, and disputes will be resolved in the courts located there, unless mandatory local law gives you other rights. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for failures caused by events beyond our reasonable control. If any part of these terms is found unenforceable, the rest stays in effect. We may update these terms from time to time; continued use of VauxCast after an update means you accept the new terms.
